These Affiliate Program Terms and Conditions (the "Agreement") govern participation in the Battleborn Peptides Affiliate Program (the "Program"). By enrolling in the Program, you (the "Affiliate") agree to be bound by the terms and conditions set forth herein. 1. Eligibility and Agreement: By participating in the Program, Affiliate affirms that all referrals are made solely for individuals or entities conducting research purposes or who are registered researchers (for more information on research, please refer to Battleborn Peptides Terms and Conditions. Affiliate further warrants and represents that they are at least eighteen (18) years of age or the legal age of majority in their jurisdiction, whichever is greater. This Agreement constitutes a legal, valid, and binding obligation, enforceable against the Affiliate in accordance with its terms.2. Commission Structure and Payments: Affiliate will earn a commission of ten percent (10%) in store credit on each order made by a customer referred through Affiliate’s unique referral link, as calculated by Battleborn Peptides. Battleborn Peptides may, at its discretion, increase the commission rate based on the volume of referrals generated by Affiliate. Affiliate acknowledges and agrees that initial payments under the Program will be made in the form of store credit. Affiliate may be eligible for cash payouts if certain thresholds are met, as determined by Battleborn Peptides. Affiliate must request such cash payouts via written notice to [email protected]. Battleborn Peptides reserves the right to modify or terminate the commission structure, including payment methods, at any time, with or without notice. 3. Referral Conduct: Affiliate warrants that all referrals made under this Program are made solely to individuals or entities conducting bona fide research with Battleborn Peptides products. Any referral that does not meet this criterion is subject to cancellation, and any commissions associated with such referrals may be withheld or rescinded at the sole discretion of Battleborn Peptides. The Affiliate acknowledges that referrals must strictly align with the research-related objectives of Battleborn Peptides. 4. Affiliate’s Responsibility for Payment Requests: Affiliate is responsible for timely communication regarding any requests for commission payouts, including but not limited to cash payouts, by contacting Battleborn Peptides at [email protected]. Failure to make a timely request for a payout may result in forfeiture of the corresponding commission. Affiliate acknowledges that any commissions earned but unpaid due to Affiliate’s violation of this Agreement or failure to adhere to Program guidelines may be forfeited at the sole discretion of Battleborn Peptides. 5. Limitation of Liability: Affiliate agrees to participate in the Program at their own risk. Battleborn Peptides shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages (including but not limited to loss of profits, goodwill, use, or data) resulting from the Affiliate’s participation in the Program, whether based on breach of contract, tort (including negligence), or any other legal theory, even if Battleborn Peptides has been advised of the possibility of such damages. Affiliate assumes full responsibility for any risk associated with promoting, marketing, or referring customers to Battleborn Peptides products or services. Battleborn Peptides expressly disclaims any and all liability for damages, claims, or losses arising out of or related to the Affiliate’s participation in the Program. 6. Affiliate Conduct and Compliance: Affiliate shall be solely responsible for ensuring that their promotional activities and referrals comply with all applicable laws, regulations, and ethical standards. Affiliate shall not engage in any deceptive, misleading, or unethical conduct in connection with their participation in the Program. Battleborn Peptides reserves the right, in its sole discretion, to terminate the Affiliate’s participation in the Program if it determines that the Affiliate has engaged in conduct that violates these terms or otherwise compromises the integrity of the Program. 7. Termination of Affiliate Participation: Battleborn Peptides reserves the right to suspend or terminate the Affiliate’s account at any time, for any reason, including but not limited to any breach of this Agreement or any other actions that Battleborn Peptides deems, in its sole discretion, to be inconsistent with the objectives of the Program. Upon termination, any unpaid commissions shall be forfeited, and the Affiliate shall have no further right to participate in the Program. 8. Modification of Program Terms: Battleborn Peptides reserves the right to modify, suspend, or terminate the Program or any of its terms, including this Agreement, at any time without notice. Affiliate’s continued participation in the Program following any such modifications shall constitute Affiliate’s acceptance of the revised terms. 9. Indemnification: Affiliate agrees to indemnify, defend, and hold harmless Battleborn Peptides, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, expenses, or costs (including attorneys' fees) arising out of or in any way related to Affiliate’s participation in the Program, including but not limited to any breach of this Agreement, violation of applicable law, or infringement of any third-party rights. 10. Governing Law and Dispute Resolution: Any disputes arising out of or relating to this Agreement or the Program shall be resolved exclusively through binding arbitration conducted in accordance with the rules of the American Arbitration Association. By participating in the Program, Affiliate acknowledges and agrees to be bound by these terms and conditions.
